PART 1 — INTRODUCTION AND SCOPE

1. Who We Are and What This Document Governs

1.1 These User T&Cs are issued by Prop Firm Match Global FZCO ("PFM", "we", "us", "our"), a free zone company incorporated in the UAE.

1.2 PFM operates the Approved Partners Marketplace (the "Marketplace") as a curated B2B directory and introduction platform, enabling eligible entities to discover and engage vetted service providers across defined service categories.

1.3 These User T&Cs govern the terms on which any entity that accesses or uses the Marketplace as a buyer or prospective buyer of services ("User", "you", "your") is permitted to do so.

1.4 By registering for, accessing, or using the Marketplace – including by completing a Get Deal Request – you agree to be bound by these User T&Cs in their entirety.

1.5 If you are acting on behalf of a legal entity, you represent and warrant that you have authority to bind that entity, and references to "you" and "your" refer to that entity.

1.6 These User T&Cs apply from first access until termination of access in accordance with Clause 14. They apply in addition to, and do not replace, any other terms governing your separate relationship with PFM.

2. Definitions

"Approved Partner" means a Service Provider listed on the Marketplace that has passed PFM's vetting process and holds a current Approved Partner Badge.

"Approved Partner Badge" means the "PFM Approved Partner" designation displayed on a Service Provider's Listing, indicating passage of PFM's internal vetting criteria at the time of review.

"Business Day" means a day other than a Saturday, Sunday, or public holiday in the UAE.

"Dashboard" means the PFM business portal accessible to registered Eligible Firms and, where applicable, other registered Users.

"Deal Confirmation" means a User's confirmation through the Dashboard that it has engaged or entered a commercial arrangement with a Service Provider.

"Exclusive Offer" means a service offer made available by a Service Provider through the Marketplace.

"Get Deal Request" means a request initiated by a User through the Marketplace to access a Service Provider's contact details, Exclusive Offer, or discount code.

"Listing" means a Service Provider's profile page and associated content published on the Marketplace, including any editorial content authored or contributed by PFM.

"Marketplace" means the PFM Approved Partners Marketplace at marketplace.propfirmmatch.com or such other URL as PFM designates.

"Match Code" means a PFM-exclusive promotional or discount code for use with a specific Service Provider.

"Personal Data" has the meaning given under applicable data protection laws, including UAE Federal Decree-Law No. 45/2021 and (where applicable) the EU GDPR.

"Service Provider" means any entity listed on the Marketplace as a supplier of services across one or more designated categories.

PART 2 — PFM'S ROLE, PLATFORM NATURE, AND MATERIAL DISCLAIMERS

3. PFM's Role: Directory Operator and Introduction Facilitator Only

3.1 PFM operates the Marketplace as a curated directory and introduction facilitator. PFM is not a party to any agreement between a User and a Service Provider. Any contract for services is formed directly between the User and the Service Provider. PFM has no role in negotiating, executing, performing, or enforcing any such contract.

3.2 PFM does not supply, provide, deliver, guarantee, or take any responsibility for the services, products, pricing, terms, quality, suitability, or conduct of any Service Provider.

4. The Approved Partner Badge: Scope and Limitations

4.1 The Approved Partner Badge indicates only that a Service Provider passed PFM's internal vetting criteria as in force at the time of the review. It is a point-in-time assessment only.

4.2 The Approved Partner Badge does not constitute:

  • (a) a warranty, guarantee, or endorsement of the Service Provider's services, capabilities, quality, reliability, financial standing, regulatory compliance, or ongoing conduct;
  • (b) a recommendation by PFM that the Service Provider is suitable for your specific needs or circumstances;
  • (c) a professional, regulatory, financial, legal, or technical assessment of any kind;
  • (d) an ongoing representation that the Service Provider continues to meet any particular standard after the date of vetting; or
  • (e) any form of due diligence that substitutes for a User's own independent assessment before engaging any Service Provider.

4.3 PFM's vetting process is internal and operational. It is not a regulatory certification, industry accreditation, or professional endorsement. The criteria, depth, and scope of vetting vary by Service Provider tier and category. PFM does not publish its full vetting criteria.

4.4 Engaging an Approved Partner does not influence, affect, accelerate, or otherwise alter a firm's listing application, listing status, listing outcome, or any assessment by PFM under its main platform processes. The Marketplace and the firm listing process are entirely independent. No commercial relationship with any Approved Partner confers any advantage in PFM's listing review.

5. Content Disclaimer

5.1 Listings contain content submitted by Service Providers and, in some cases, editorial content authored or contributed by PFM. All such content is informational only.

5.2 PFM does not independently verify the accuracy, completeness, or currency of content submitted by Service Providers. PFM's editorial contributions are based on publicly available information and information provided by Service Providers during the vetting process and do not constitute independent due diligence.

5.3 Nothing in any Listing or on the Marketplace constitutes financial advice, investment advice, legal advice, compliance advice, regulatory guidance, or any other form of professional advice. Users must obtain independent professional advice before making any material commercial decision.

5.4 Pricing, terms, availability, and service scope displayed on the Marketplace are indicative only. All commercial terms are subject to direct negotiation and agreement between the User and the Service Provider.

PART 3 — ACCESS, ELIGIBILITY AND REGISTRATION

6. Eligibility

6.1 The Marketplace is a B2B platform. Access is restricted to legal entities and their authorized representatives. Natural persons accessing the Marketplace on behalf of a legal entity must have the authority to bind that entity.

6.2 PFM reserves the right to restrict or revoke access to the Marketplace for any entity or individual at its sole discretion, including where access would be inconsistent with PFM's risk management policies or where PFM has reasonable grounds for concern about the identity or conduct of the accessing entity.

7. Registration and Account Security

7.1 Access to certain Marketplace features – including the Get Deal Request and access to Match Codes – requires registration and login through PFM's platform. Where registration is required, you must provide accurate, complete, and current information and maintain it on that basis.

7.2 You are responsible for maintaining the confidentiality and security of your account credentials. You must not share login credentials with any person who is not an authorized representative of your organization. You must notify PFM immediately if you become aware of any unauthorized access to your account.

7.3 PFM may verify your identity, entity status, or authorization at any time. PFM may suspend or terminate access pending verification.

7.4 You are responsible for all activities conducted through your account, whether authorized by you or not, to the extent permitted by applicable law.

PART 4 — MARKETPLACE ACCESS AND PERMITTED USE

8. Permitted Use

8.1 Subject to these User T&Cs, PFM grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Marketplace for the purpose of evaluating and engaging Service Providers for your legitimate business needs.

8.2 You must not use the Marketplace to:

  • (a) access or scrape Listing data, Service Provider contact details, or Match Codes for any purpose other than a genuine intention to evaluate or engage the relevant Service Provider;
  • (b) circumvent the introduction in order to obtain Service Provider contact details outside the tracked attribution process;
  • (c) use Match Codes or Exclusive Offers for any purpose other than the legitimate engagement they are intended to facilitate;
  • (d) submit false, misleading, or fabricated information in a Get Deal Request or Deal Confirmation;
  • (e) submit a Get Deal Request without a genuine intention to evaluate the relevant Service Provider;
  • (f) access the Marketplace on behalf of, or for the benefit of, a competitor of PFM, a Service Provider, or any third party, without PFM's prior written consent;
  • (g) engage in any conduct that interferes with the operation of the Marketplace or the experiences of other Users or Service Providers; or
  • (h) use the Marketplace in any manner that violates applicable law or these User T&Cs.

8.3 PFM's Marketplace and all content within it – including Listings, editorial content, ratings, reviews, and platform functionality – are PFM's proprietary assets. You may not reproduce, distribute, repost, or commercially exploit any Marketplace content without PFM's prior written consent.

PART 5 — THE GET DEAL AND DEAL CONFIRMATION

9. Get Deal Request Process

9.1 To access a Service Provider's Exclusive Offer, contact details, or Match Code, a User must complete a Get Deal Request through the Marketplace. The Get Deal Request requires the User to provide its firm name, authorized contact details, company information, and answers to a short qualification questionnaire.

9.2 By completing a Get Deal Request, you:

  • (a) confirm that the information provided is accurate, complete, and not misleading;
  • (b) confirm that you have a genuine interest in evaluating or engaging the relevant Service Provider;
  • (c) consent to PFM transmitting your firm details and contact information (including the personal data of the individual completing the form) to the relevant Service Provider as part of an introduction, in accordance with Clause 11 (Data and Privacy); and
  • (d) acknowledge that PFM will record the introduction with a unique timestamped Introduction ID, which forms PFM's attribution record.

9.3 Following a Get Deal Request, PFM will send a formal introduction notification to the Service Provider, including your qualified lead details.

9.4 Match Codes and Exclusive Offers are made available by Service Providers and are funded entirely from the Service Provider's own margin. They do not represent a cost to PFM, nor do they constitute a guarantee of price advantage in all circumstances. You should independently verify any claimed savings or offer terms before proceeding.

10. Deal Confirmation Obligation

10.1 Where you engage or enter a commercial arrangement with a Service Provider following a Get Deal Request, you are required to confirm this engagement through your Dashboard (a "Deal Confirmation") as soon as reasonably practicable, and in any event within 14 days of the commencement of the engagement.

10.2 The Deal Confirmation requires you to provide: the Service Provider's name; the service or product purchased; an approximate deal value range; and the start date of the engagement.

10.3 Activation of the Match Code discount or Exclusive Offer is contingent on Deal Confirmation. Where you have received a Match Code or Exclusive Offer, that offer becomes confirmed and active on completion of the Deal Confirmation step.

10.4 PFM may send automated follow-up communications to prompt Deal Confirmation where a Get Deal Request has been made but not confirmed within a reasonable period. Such communications are operational and do not constitute marketing unless you have opted in to PFM's marketing communications.

PART 6 — DATA, PRIVACY AND CONFIDENTIALITY

11. Data and Privacy

11.1 PFM processes personal data in connection with the Marketplace in accordance with its Privacy Policy. The Privacy Policy is incorporated into these User T&Cs by reference.

11.2 When you complete a Get Deal Request, PFM will share with the relevant Service Provider the personal data of the individual completing the form (including name, job title, company name, and email address) as part of the tracked introduction. This data sharing is necessary to facilitate the introduction you have requested. By completing a Get Deal Request, you consent to this data sharing on behalf of yourself and (where applicable) confirm that you are authorized to provide the personal data of any individual named in the form.

11.3 Following a Get Deal Request, the Service Provider may contact you using the details provided. Service Providers are contractually bound to use your data only in connection with the specific introduced engagement and may not use it for general marketing or prospecting unrelated to that engagement. PFM is not responsible for a Service Provider's handling of your data after the introduction is made, and you should review the Service Provider's own privacy practices before proceeding.

11.4 PFM collects and uses data about your Marketplace activity – including Get Deal Requests made, Deal Confirmations submitted, and service categories browsed – for the purposes of operating the Marketplace, improving the platform, reconciliation, and (in anonymized or aggregated form) for internal analytics and marketing. This is described further in the Privacy Policy.

11.5 Each party shall comply with all applicable data protection laws in connection with its performance of these User T&Cs, including UAE Federal Decree-Law No. 45/2021 and (where applicable) the EU GDPR and UK GDPR.

12. Confidentiality

12.1 Any non-public information disclosed to you by PFM in connection with the Marketplace is confidential and must not be disclosed to any third party without PFM's prior written consent.

12.2 Match Codes and Exclusive Offer terms accessed through the Marketplace are made available for your use only in connection with the specific engagement they are intended to facilitate. They must not be shared publicly, posted on third-party websites, or distributed beyond your organization.

PART 7 — USER REPRESENTATIONS AND WARRANTIES

13. Representations and Warranties

13.1 By accepting these User T&Cs and by each use of the Marketplace, you represent and warrant that:

  • (a) you are a duly incorporated legal entity with full power and authority to enter into and perform these User T&Cs;
  • (b) the individual accepting these User T&Cs on your behalf has authority to bind your organization;
  • (c) all information you provide in connection with registration, Get Deal Requests, and Deal Confirmations is accurate, complete, and not misleading;
  • (d) you will use the Marketplace only for genuine business purposes and in accordance with these User T&Cs;
  • (e) you will comply with all applicable laws and regulations in connection with your use of the Marketplace and your engagement with any Service Provider; and
  • (f) you will not use the Marketplace for any purpose that is unlawful, fraudulent, deceptive, or harmful to PFM or any third party.

PART 8 — SUSPENSION AND TERMINATION OF ACCESS

14. Suspension and Termination

14.1 PFM may suspend or terminate your access to the Marketplace at any time:

  • (a) Without notice, where: you have materially breached these User T&Cs; PFM has reasonable grounds to believe you have provided false information or engaged in fraudulent or deceptive conduct; your continued access creates material reputational or legal risk to PFM; or you have attempted to circumvent the introduction to access Service Provider data outside the attribution process.
  • (b) With notice, where: you have committed a non-material breach that is capable of remedy; or PFM is withdrawing, restructuring, or suspending the Marketplace for operational reasons.

14.2 PFM may suspend your access to specific Marketplace features (for example, the Get Deal) without suspending general browsing access where a breach relates only to that feature.

14.3 On termination of access: your right to access and use the Marketplace ceases immediately; any pending Get Deal Requests are cancelled; any Match Codes or Exclusive Offers associated with incomplete transactions are void; and your obligation to provide any pending Deal Confirmation in respect of engagements already initiated remains.

14.4 PFM may reinstate access at its discretion. Reinstatement does not waive any right PFM may have in respect of conduct prior to suspension.

PART 9 — PFM'S LIABILITY TO USERS

15. PFM's Limitation of Liability

15.1 PFM's total aggregate liability to any User arising under or in connection with these User T&Cs – whether in contract, tort (including negligence), or otherwise – shall not exceed USD 1,000 or, where the claim relates to a specific Get Deal Request, the value of any Exclusive Offer or discount associated with that request.

15.2 PFM shall not be liable to any User for:

  • (a) the quality, suitability, availability, reliability, safety, or performance of any Service Provider's services;
  • (b) any failure, defect, delay, or deficiency in the services of any Service Provider;
  • (c) any loss or damage arising from a User's decision to engage or not engage any Service Provider;
  • (d) any inaccuracy, incompleteness, or currency of information in any Listing, including editorial content contributed by PFM;
  • (e) any loss of profit, loss of business, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss arising out of or in connection with these User T&Cs or the Marketplace, even if PFM has been advised of the possibility of such losses;
  • (f) any failure or interruption of the Marketplace's availability or functionality; or
  • (g) any act, omission, or breach by any Service Provider following an introduction made through the Marketplace.

15.3 The Marketplace is provided on an "as is" and "as available" basis. PFM gives no warranty as to the Marketplace's fitness for any particular purpose, uninterrupted access, freedom from errors, or completeness of Listings at any given time.

PART 10 — USER INDEMNIFICATION

16. Indemnification by User

16.1 You shall indemnify, defend, and hold harmless PFM and its officers, directors, employees, agents, and affiliates from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or in connection with:

  • (a) any breach of your representations, warranties, or obligations under these User T&Cs;
  • (b) any false, misleading, or fraudulent information provided by you in a Get Deal Request, registration, or Deal Confirmation;
  • (c) your violation of any applicable law in connection with your use of the Marketplace; or
  • (d) any claim by a Service Provider or third party arising from your conduct in connection with the Marketplace, including any dispute arising from your engagement (or failure to engage) with a Service Provider following a Get Deal Request.

PART 11 — INTELLECTUAL PROPERTY

17. Intellectual Property Rights

17.1 All Intellectual Property Rights in the Marketplace, its content, platform, branding (including the "Prop Firm Match" name, logo, and editorial content), are owned by or licensed to PFM. You acquire no ownership interest in any PFM Intellectual Property Rights by accessing or using the Marketplace.

17.2 The license granted under Clause 8.1 is for personal, internal business evaluation purposes only. It does not permit you to reproduce, adapt, distribute, sell, sublicence, or commercially exploit any part of the Marketplace or its content.

17.3 Reviews, ratings, or other content you submit to the Marketplace (where such functionality exists) must be your own, accurate, and in compliance with these User T&Cs. By submitting such content, you grant PFM a non-exclusive, royalty-free, worldwide, perpetual license to use, display, and reproduce that content in connection with the operation and promotion of the Marketplace.

17.4 You must not submit content to the Marketplace that: infringes any third-party Intellectual Property Rights; is false, misleading, or defamatory; constitutes spam or is submitted for a commercial purpose other than genuine review; or violates applicable law.

PART 12 — REVIEWS AND RATINGS

18. Reviews of Service Providers

18.1 Where PFM makes review or rating functionality available, you may submit a review of a Service Provider you have engaged through the Marketplace. Reviews must be honest, accurate, and based on genuine experience with the Service Provider's services.

18.2 PFM maintains editorial discretion over all reviews and may decline to publish, remove, or edit any review that, in PFM's reasonable determination: is false or fabricated; is defamatory or abusive; relates to a competitor, conflict of interest, or non-genuine engagement; or violates these User T&Cs or applicable law.

18.3 PFM does not verify the accuracy of reviews. Published reviews represent the views of the submitting User and do not represent PFM's assessment of any Service Provider.

18.4 You must not incentivize, arrange, or submit multiple false reviews of any Service Provider, whether favorable or unfavorable.

PART 13 — GENERAL PROVISIONS

19. Amendments

19.1 PFM may amend these User T&Cs at any time. PFM will provide not less than 30 days' notice (by email to your registered contact address) of any amendment that materially affects your rights or obligations. Non-material amendments may be made without advance notice.

19.2 Continued use of the Marketplace after the notice period constitutes acceptance of the amended terms. If you do not accept a material amendment, you may cease using the Marketplace and notify PFM in writing before the amendment takes effect.

20. General

20.1 Entire agreement. These User T&Cs (together with PFM's Privacy Policy and any other documents incorporated by reference) constitute the entire agreement between the parties regarding Marketplace access. They do not supersede any separate agreement governing your firm listing or other PFM services.

20.2 Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum necessary extent. If not possible, it shall be deleted without affecting the remainder.

20.3 Waiver. No failure or delay in exercising any right constitutes a waiver. No partial exercise prevents further exercise.

20.4 Assignment. You may not assign or transfer your rights or obligations under these User T&Cs. PFM may assign these User T&Cs to any affiliate or in connection with a merger, acquisition, or asset sale, on written notice.

20.5 Force majeure. Neither party is in breach to the extent performance is prevented by circumstances beyond its reasonable control. If the force majeure event continues beyond 60 days, either party may terminate access on written notice.

20.6 Relationship of the parties. The parties are independent contractors. Nothing in these User T&Cs creates agency, partnership, joint venture, employment, or fiduciary relationship.

20.7 Notices. Notices must be in writing by email to notified contact addresses. Email notices are effective on the next Business Day following successful transmission. PFM may give general notices to Users by publishing updates on the Marketplace.

20.8 Third-party rights. These User T&Cs confer no rights on any third party, including any Service Provider.

20.9 Language. These User T&Cs are in English. If translated, the English version prevails.

PART 14 — GOVERNING LAW AND DISPUTE RESOLUTION

21. Governing Law and Dispute Resolution

21.1 These User T&Cs and all disputes arising out of or in connection with them are governed by and construed in accordance with the laws of the Dubai International Financial Centre ("DIFC").

21.2 Escalation. Before commencing formal proceedings, the parties shall attempt to resolve any dispute through good-faith discussions between senior representatives for 20 Business Days following written notice of the dispute.

21.3 Dispute resolution. Unresolved disputes shall be finally determined by arbitration under the Dubai International Arbitration Centre (DIAC) Rules, with: (a) the seat of arbitration in the Dubai; (b) English as the language.
